4. Client Responsibilities

• Pay all invoices in accordance with agreed payment terms (typically 30 days).
5. Project Timeline and Changes
Project Scope:
• Project scope, timeline, and deliverables are defined in the initial project agreement or proposal and should not be exceeded without amendment and additional fees.
• Revisions and rounds are included as specified in your service package or project agreement.
• Additional revisions beyond what is included will incur extra fees.
If you request material changes to scope, timeline, or deliverables after the project has commenced, additional costs and timeline extensions will apply.
6. Intellectual Property
Ownership of Work:
• Upon full payment, creative work developed specifically for your project (including logos, visual identity, brand guidelines, event designs, and content strategy) becomes your property.
• Our methodologies, processes, templates, frameworks, and strategic tools remain our intellectual property.
• All website content, including text, graphics, logos, images, and software, is owned by Auburn & Charles or used with permission and is protected by copyright and other intellectual property laws.
• You may not reproduce, distribute, or transmit any website content without prior written permission.
• We retain the right to display completed work in our portfolio and case studies (unless confidentiality is requested and agreed in writing).
7. Creator Partnerships and Collaborations
For paid partnerships involving Ezra (our Chief Happiness Officer) or other creator collaborations:
• Specific terms, deliverables, content rights, usage periods, exclusivity, and compensation are negotiated and documented in a formal partnership agreement.
• Content created under partnership agreements is subject to the terms outlined in the partnership contract, including usage rights and attribution.

8. Event Terms and Conditions
For The Connection Experience and The Bonding Experience services:
• We will plan and execute your event in accordance with agreed scope, budget, and timeline.
• Deposits and payment schedules are agreed in advance. Final payment is typically due 14 days before the event.
• Event details including date, venue, guest count, and attendee list must be confirmed 4 weeks before the scheduled event.
• We are not responsible for cancellations or changes made by external vendors, venues, or circumstances beyond our reasonable control.
• Cancellation policies are outlined in your event agreement. Late cancellations may result in forfeiture of deposits or additional fees.
• Photography and videography created at events may be used for portfolio and promotional purposes unless alternative terms are agreed.
9. Payment Terms
Payment terms for services are set out in individual project agreements or invoices. Standard terms are 30 days from invoice date. For events, deposits are typically required to secure booking and confirm dates. Late payment may result in suspension of services or project delay. We reserve the right to charge interest on overdue accounts at the statutory rate or the maximum rate permitted by law.
10. Limitation of Liability
To the maximum extent permitted by law, Auburn & Charles shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid for services in the preceding 12 months.
